Lots of folks want to see Donald Trump’s tax returns.  Conventional wisdom is that the returns cannot be disclosed unless he consents.  That conventional wisdom is based on the general rule contained in 26 U.S.C. §6103(a).  The general rule forbids IRS employees (and some folks who receive information from IRS employees) from disclosing “return information.”  That is a term of art that means not just tax returns but also just about anything in the IRS files.

Section 6103 is a really complex statute, mostly because of the exceptions to the general rule.  The exceptions are found in subsections (c) through (o).  These exceptions balance a taxpayer’s privacy with the needs of government officers and employees to do their jobs.  So the exceptions to the general rule can get quite gnarly.

When the stock stopped trading we expected a decline of 3 to 5%, yet the stock actually opened higher. This has probably happened in the past but we cannot readily recall a stock reacting positively to its own downgrade. Honeywell International (HON) also suggested investor expectations are excessive, but again – with little apparent damage to its price.

    After a year of stock price fluctuations, the net result is that HON’s price has not changed very much. Although its weak earnings growth may have played a role in this flat result, don’t lose sight of the fact that the performance of the overall market, as measured by the S&P 500 Index, was essentially similar. Turning our attention to the future direction of the stock, it goes without saying that even the best stocks can fall in an overall down market. However, in any other environment, this stock still has good upside potential despite the fact that it has already risen in the past year.

    The current debt-to-equity ratio, 0.60, is low and is below the industry average, implying that there has been successful management of debt levels. Although the company had a strong debt-to-equity ratio, its quick ratio of 0.89 is somewhat weak and could be cause for future problems.

Last night, MetLife (MET) set out its plans to separate a big piece of its life insurance business, to be known as Brighthouse Financial, from the rest of the company. Deutsche Bank’s Yaron Kinar has the details:

Separation is expected to take place in 1H17. As of now, it is expected to be through an 80.1% spin, followed by full divestment within 5 years. Brighthouse appear s to be very well capitalized, with an RBC ratio of 689% plus a $3 bil buffer above CTE9 5 capitalization to support the variable annuity block. The key point, in our view, is that Brighthouses capital position is strong enough to allay any concerns over the need to infuse it with additional capital. We also note that the VA business app ears over-hedged against interest rate risk (declining rates boost capital). As for the actual business, wed expect it to generate little if any top line growth and point to a sub-10% ROE, though management is pointing to expense management as a source of potential ROE improvement. We dont expect much by the way of capital deployment for the foreseeable future. These are secondary to the strong balance sheet, we believe…

     Old National Bancorp (ONB) is a 181-year-old financial institution with 195 branches, mainly in the Midwest. The stock, which is still down by about one-third from its prerecession high, trades at just 13 times projected 2016 earnings and yields an attractive 3.4%.     Time To Favor Optionality: Most macro data are similar to, or better than, when the merger was announced. As a result, the same returns have been obtainable, with significantly less stress, simply through owning 3M (MMM) or a basket of chemical companies that approximate the Dow-DuPont portfolio. Relative to the chemical sector, performance has been average, leverage appears reasonable but near-term FCF less-than compelling partly due to new capacity ramping. With the merger likely to close in the near-term (90% chance, in our view), we believe Dow-DuPont will have an opportunity to show how scale creates optionality. The overhaul at Celanese (CE) over the past few years shows the way.
